Terms and Conditions for CIB Designs Effective Date: 5/03/2025
Scope of Work
The Service Provider agrees to design and develop a website based on the specifications agreed upon by the Client. The scope of work includes, but is not limited to:
- Design and development of the website, including layout, structure, and functionality.
- Integration of any specific features as requested by the Client (subject to additional charges if outside the original scope).
- Testing the website on multiple devices and browsers.
- Final delivery of the website files and/or access to the content management system (CMS).
- Up to two rounds of revisions (additional revisions may incur extra charges).
- Payment Policy
Total Fee: The total fee for the services rendered is outlined before commencement of work. Total fee will be disclosed in invoice.
Payment Plans:
We offer the following flexible payment options for your convenience:
- Full Payment: Pay the total amount upfront for a straightforward, one-time transaction.
- Installments: Spread the cost over a set period with manageable monthly payments.
- Milestone Payments: Make payments based on key project milestones, ensuring you’re only paying as progress is made.
Late Fees: If the Client fails to pay within the agreed timeframe, a late fee of 10% per month will be applied to the outstanding balance. Fail to pay will result it website code to be revoked and website hosting to be terminated.
- Client Responsibilities
The Client agrees to provide the Service Provider with all necessary materials, content, images, text, logos, and other assets required to complete the website. The Client is responsible for ensuring that all provided content complies with relevant laws and does not infringe on the rights of third parties.
- Intellectual Property
Ownership: The Service Provider retains ownership of all intellectual property rights in the website design and code until full payment is received. Upon receipt of full payment, ownership of the final deliverables (e.g., design files, website code) will be transferred to the Client.
License: If full ownership is not transferred, the Service Provider grants the Client a non-exclusive, non-transferable license to use the website for its intended purpose.
- Revisions and Additional Work
Included Revisions: The Client is entitled to up to two rounds of revisions, which must be requested within 30 days of the website’s initial delivery.
Additional Work: Any work outside the original scope, including additional pages, features, or functionalities, will incur additional charges at the rate of £50/per hour.
- Post-Launch Support and Warranty
Warranty: The Service Provider offers a 30-day warranty after the website is live to fix any bugs or errors related to the development.
Ongoing Support: After the warranty period, any additional support or maintenance required will be billed at the rate of £50/ per hour, or as per a separate support agreement.
- Limitation of Liability
No Indirect Damages: The Service Provider shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of data, profits, business opportunities, or reputation, even if the Service Provider was advised of the possibility of such damages.
Cap on Liability: In no event shall the Service Provider’s liability exceed the total amount paid by the Client for the services rendered under this Agreement.
Third-Party Services: The Service Provider shall not be held responsible for any damages, losses, or issues resulting from third-party services, including but not limited to hosting services, payment gateways, or software integration.
Force Majeure: The Service Provider shall not be responsible for any delay or failure in the performance of obligations under this Agreement due to events outside their control, including but not limited to acts of nature, strikes, terrorism, or internet outages.
Content Responsibility: The Client is solely responsible for the content provided for the website and ensures that such content is legally compliant and does not infringe upon the rights of any third parties.
No Warranty on Results: The Service Provider does not guarantee any specific results, including but not limited to website traffic, search engine rankings, or sales. The Client understands that results depend on various external factors, many of which are beyond the Service Provider’s control.
- Confidentiality
Both parties agree to keep any sensitive information shared during the project confidential, including but not limited to business plans, client data, and technical information. This confidentiality obligation shall survive the termination of this Agreement.
- Termination
Either party may terminate this Agreement by providing written notice to the other party. In the event of termination, the Client will be billed for all work completed up to that point. No refunds will be provided if the project is cancelled after work has begun.
- Governing Law
This Agreement shall be governed by and construed in accordance with the law, without regard to its conflict of laws principles. Any legal action or proceeding related to this Agreement shall be brought in the courts located in York.
